Every SaaS company depends on vendors. Cloud providers, payment processors, analytics platforms, email services, CI/CD tools, and dozens of other third-party services form the operational backbone of modern software businesses. The average SaaS company with 100 employees uses between 80 and 120 SaaS tools. Each one represents a potential risk vector.
Some of the largest data breaches in recent years originated from vendors, not the victim organization. The MOVEit breach, the Okta compromise, the SolarWinds supply chain attack -- each demonstrated that your security posture is only as strong as your weakest vendor.
SOC 2, ISO 27001, HIPAA, and PCI DSS all require formal vendor risk management programs. Auditors are scrutinizing third-party risk more aggressively than ever. This guide provides a practical framework for building a VRM program that satisfies compliance requirements and actually reduces risk.
Why Vendor Risk Matters for Compliance
Every major compliance framework includes specific requirements for managing third-party risk.
SOC 2 (CC9.2): Requires assessing and managing vendor risks. Auditors evaluate your vendor management policy, risk assessments, contractual security requirements, and ongoing monitoring.
ISO 27001 (A.5.19 through A.5.23): Five controls covering supplier security relationships, supplier agreements, ICT supply chain risk, supplier service monitoring, and change management for supplier services.

Component 2: Vendor Classification
Not all vendors carry equal risk. A cloud infrastructure provider that hosts your production database represents fundamentally different risk than a marketing analytics tool that only accesses aggregate traffic data. Your VRM program should classify vendors into tiers based on risk, and your assessment rigor should scale with the tier.

Low-risk vendors have no access to sensitive data and limited operational impact. Examples: office supplies, marketing design tools used without data integration, informational subscriptions. Component 3: Vendor Assessment
Vendor assessment is the process of evaluating a vendor's security posture before engagement and on an ongoing basis. The depth of assessment should match the vendor's risk classification.
Assessment methods, from lightest to most rigorous:
1. Documentation review. Request and review the vendor's SOC 2 report, ISO 27001 certificate, penetration test summary, or other compliance documentation. This is the minimum assessment for any vendor classified as medium risk or above.
What to look for in a SOC 2 report:

Component 4: Contractual Controls
Assessment identifies risks; contracts mitigate them. Every vendor agreement for medium-risk and above vendors should include specific information security clauses.
Essential contractual provisions:
- Data protection requirements: Specify security controls the vendor must maintain (encryption, access control, logging, vulnerability management).
- Incident notification: Require notification within 24 to 72 hours of security incidents.
- Audit rights: Reserve the right to audit vendor security controls or request updated compliance documentation.
- Subprocessor management: Require notification before engaging new subprocessors with equivalent security requirements imposed.
