Your SaaS company is incorporated in Delaware. Your servers are in AWS us-east-1. Your team is in San Francisco. And you have a customer in Munich and seven users in Amsterdam. Congratulations — GDPR applies to you.

This surprises a lot of US founders. The General Data Protection Regulation is a European law, but it does not stop at European borders. It follows European data subjects wherever their data goes — including to US SaaS companies that have never opened a European office and do not plan to. The enforcement cases prove it: US companies have paid GDPR fines, received enforcement notices from European Data Protection Authorities, and lost European contracts because they were not compliant.

The good news: GDPR compliance for a B2B SaaS company is manageable. It requires real work — technical implementation, legal documentation, and process changes — but it is not a mystery. This guide walks through what the regulation actually requires, what the technical implementation looks like, and how to build a GDPR program that protects your business and satisfies European enterprise procurement teams.


Why US Companies Must Care About GDPR

There are three business reasons to care about GDPR, in order of urgency:

1. Legal exposure. GDPR fines are calculated as a percentage of global annual revenue — not European revenue. Article 83 sets maximum fines at €20 million or 4% of global annual turnover, whichever is higher. For a $10M ARR SaaS company, that is a potential $400,000 fine. For a $100M ARR company, $4 million. Enforcement against non-EU companies is real: the Irish DPA (Data Protection Commission), which oversees Meta, LinkedIn, and dozens of US tech companies with EU operations, has issued billions in fines. US companies without EU offices are also reachable through their EU customers and partners.

Who GDPR Applies To: The Two Tests

GDPR Article 3 establishes extraterritorial scope through two alternative tests:

Test 1: The Establishment Test

GDPR applies to the processing of personal data "in the context of the activities of an establishment of a controller or a processor in the Union, regardless of whether the processing takes place in the Union or not."

Practical meaning: If you have any form of presence in the EU — an office, a subsidiary, a sales representative, or even a contractor based in an EU member state who conducts business activities on your behalf — GDPR applies to all your processing activities connected to that establishment, even if the actual data processing happens on US servers.

Test 2: The Targeting Test

GDPR applies to controllers not established in the EU when they process personal data of EU data subjects "in relation to: (a) the offering of goods or services, irrespective of whether a payment of the data subject is required, to such data subjects in the Union; or (b) the monitoring of their behaviour as far as their behaviour takes place within the Union."

Practical meaning: If you market your product to EU users (even with a free tier), if EU users sign up for your service, if your website accepts EU currency or provides EU-language content, or if you use analytics or tracking cookies that profile EU users' behavior — GDPR applies. This test does not require any physical presence in the EU whatsoever.

Key GDPR Principles (Article 5)

All GDPR compliance flows from seven core data processing principles established in Article 5. Every technical and operational decision in your privacy program should be evaluated against these principles.

The 6 Lawful Bases for Processing (Article 6)

Before processing any personal data, you must identify a valid lawful basis. There are six. Choosing the wrong one — or failing to document your chosen basis — is a GDPR violation independent of whether any harm occurs.

1. Consent (Article 6(1)(a)): The data subject gives freely given, specific, informed, and unambiguous consent. For B2B SaaS, consent is rarely the right lawful basis — it can be withdrawn at any time, which creates operational complexity. It is appropriate for marketing email to individual contacts.

2. Contract performance (Article 6(1)(b)): Processing is necessary to perform a contract with the data subject or to take steps at their request before entering a contract. For B2B SaaS, this covers processing of customer contact data and usage data necessary to deliver the contracted service.

3. Legal obligation (Article 6(1)(c)): Processing is necessary to comply with a legal obligation. Covers processing required by tax law, employment law, or financial regulation.

4. Vital interests (Article 6(1)(d)): Necessary to protect someone's life. Rarely applicable outside healthcare emergencies.

5. Public task (Article 6(1)(e)): Processing by public authorities. Not applicable to private SaaS companies.

6. Legitimate interests (Article 6(1)(f)): The most flexible and most frequently challenged basis. Processing is necessary for legitimate interests pursued by the controller or a third party, provided those interests are not overridden by the data subject's interests, rights, and freedoms. Requires a documented Legitimate Interests Assessment (LIA). Commonly used for fraud prevention, network security monitoring, and direct marketing to existing B2B customers.

Practical guidance for B2B SaaS: Most processing of customer data is covered by contract performance (delivering the SaaS service) and legitimate interests (account security, fraud prevention, product improvement). Document your lawful basis for each category of personal data processing in your Records of Processing Activities (ROPA).


Data Subject Rights

GDPR grants eight rights to data subjects — EU individuals whose personal data you process. Your systems and processes must be able to fulfill these rights within strict timelines (1 month, extendable to 3 months for complex requests).

For most B2B SaaS companies: A DPO is not legally required unless you are processing health data at scale (relevant for healthcare SaaS), or your core product is built around behavioral monitoring (ad tech, analytics platforms, employee monitoring tools).

Even when not required, many companies appoint a DPO voluntarily — particularly when pursuing ISO 27001 or GDPR-heavy enterprise deals — because it demonstrates accountability and provides a named point of contact for Data Protection Authorities.
