Key Concepts: Sovereignty, Localization, and Residency

These terms are related but distinct:

Data sovereignty is the overarching principle that data is subject to the laws of the country in which it is located. When your customer's data sits on a server in Germany, German law applies to that data -- regardless of where your company is incorporated.

Data localization is a legal requirement that data must be stored or processed within a specific jurisdiction. Localization mandates prohibit transferring certain categories of data outside national borders. Russia's Federal Law on Personal Data (242-FZ) is the most well-known example: personal data of Russian citizens must be stored on servers physically located in Russia.

Data residency is the practice of keeping data within a specific geographic location, often by choice rather than legal mandate. A company may choose to store European customer data in EU data centers for commercial reasons (customer preference, procurement requirements) even when not strictly legally required.

Data transfer refers to the movement of data across jurisdictional borders. Most privacy frameworks regulate data transfers, requiring specific legal mechanisms (adequacy decisions, standard contractual clauses, binding corporate rules) to authorize cross-border movement of personal data.


Data Localization Laws by Region

European Union and European Economic Area

The EU does not impose strict data localization in the traditional sense. GDPR does not require that personal data remain within the EU. Instead, GDPR regulates the conditions under which personal data can be transferred outside the EU/EEA:

  • Transfers to countries with an adequacy decision from the European Commission are permitted without additional safeguards
  • Transfers to countries without adequacy require appropriate safeguards (Standard Contractual Clauses, Binding Corporate Rules, or approved codes of conduct/certification mechanisms)
  • Certain derogations permit limited transfers without safeguards (explicit consent, contract performance, important public interest reasons)

However, several EU member states have sector-specific data localization requirements. Germany, for example, imposes localization requirements on certain financial and telecommunications data. France's health data hosting certification (HDS) effectively requires health data to be processed by certified hosting providers, most of which operate EU-based infrastructure.

The practical reality: While GDPR does not mandate EU data residency, many European enterprise customers require it contractually. "Data stays in the EU" is a de facto procurement requirement for most European enterprise deals, even when not legally mandated.

United States

The US has no federal data localization law. Data can generally be stored and processed anywhere, subject to sector-specific regulations:

  • ITAR (International Traffic in Arms Regulations): Defense-related technical data must be stored and processed in the US or in approved countries, and accessed only by US persons.
  • CJIS (Criminal Justice Information Services): Criminal justice data has specific storage and access requirements that effectively require US-based processing.
  • FedRAMP: Federal government cloud services must be provided by FedRAMP-authorized providers, with data processed in the continental US for most impact levels.
  • State-level requirements: Some state data privacy laws impose restrictions on data transfers or require disclosure of international processing locations, but none currently mandate in-state data storage.

China

China's regulatory framework imposes some of the most restrictive data localization requirements globally:

  • Cybersecurity Law (CSL): Critical information infrastructure operators must store personal information and important data collected in China within China. Cross-border transfers require a security assessment by the Cyberspace Administration of China (CAC).
  • Data Security Law (DSL): Imposes data classification requirements and restricts transfers of "important data" and "core data" outside China.
  • Personal Information Protection Law (PIPL): China's comprehensive data protection law requires personal information processors that process above threshold volumes of personal information to store it in China. Cross-border transfers require either a CAC security assessment, standard contract filing, or personal information protection certification.

The practical impact for SaaS companies: Serving Chinese customers or processing data of Chinese citizens typically requires a Chinese entity, Chinese-based infrastructure, and government-approved transfer mechanisms. Most global SaaS companies either partner with Chinese cloud providers (Alibaba Cloud, Tencent Cloud) or operate separate Chinese instances.

Russia

Russia's data localization law (Federal Law 242-FZ) requires that databases containing personal data of Russian citizens be located on servers physically in Russia. This requirement has been in force since September 2015 and is enforced by Roskomnadzor (the Federal Service for Supervision of Communications). Violations can result in website blocking and fines.

India

India's Digital Personal Data Protection Act (DPDPA), enacted in 2023, grants the government authority to designate countries to which personal data may not be transferred. As of the current date, the specific restricted countries have not yet been designated through rules under the Act. The government also retains authority to require certain categories of data to be processed in India.

Brazil

Brazil's LGPD (Lei Geral de Protecao de Dados) permits international data transfers when the receiving country provides an adequate level of data protection, when appropriate safeguards are in place (similar to GDPR's SCCs), or when the data subject has given specific and prominent consent. Brazil's National Data Protection Authority (ANPD) has not yet issued comprehensive transfer adequacy decisions.

Other Notable Jurisdictions

Several additional countries impose varying degrees of data localization: Canada's PIPEDA permits transfers with contractual protections, but some provinces restrict public-sector data from leaving Canada. Saudi Arabia, Vietnam, Indonesia, and South Korea each impose localization or transfer restrictions for certain data categories. Australia requires government data to remain in-country under certain policies.


EU Data Transfers Post-Schrems II

The Schrems II decision (Case C-311/18, July 2020) invalidated the EU-US Privacy Shield and imposed additional requirements on the use of Standard Contractual Clauses. Understanding the post-Schrems II landscape is essential for any SaaS company transferring EU personal data.

Adequacy Decisions

The European Commission has issued adequacy decisions for a limited set of countries and territories, meaning data can flow to them without additional safeguards. As of March 2026, adequacy decisions cover: Andorra, Argentina, Canada (commercial organizations under PIPEDA), Faroe Islands, Guernsey, Isle of Man, Israel, Japan, Jersey, New Zealand, Republic of Korea, Switzerland, the United Kingdom, Uruguay, and the United States (under the EU-US Data Privacy Framework for certified organizations).

The EU-US Data Privacy Framework

The EU-US Data Privacy Framework (DPF), adopted in July 2023, replaced the invalidated Privacy Shield. US companies that self-certify to the DPF through the Department of Commerce can receive personal data from the EU without SCCs or other transfer mechanisms. However:

  • Certification requires annual renewal and substantive compliance commitments
  • Not all US companies are eligible (financial institutions regulated by some federal financial regulators are excluded)
  • Some European enterprise customers still require SCCs as an additional safeguard, despite the adequacy decision
  • The DPF faces ongoing legal challenges and its long-term stability is not guaranteed

Standard Contractual Clauses (SCCs)

For transfers to countries without adequacy, SCCs remain the primary transfer mechanism. The current SCCs (June 2021) are modular and require:

  • Selection of the appropriate module (controller-to-processor, processor-to-sub-processor, etc.)
  • Completion of the annexes with specific processing details
  • A Transfer Impact Assessment (TIA) evaluating whether the destination country's laws undermine the protections in the SCCs
  • Implementation of supplementary measures if the TIA identifies risks

Supplementary Measures

When a TIA identifies risks, supplementary measures must bridge the gap: technical measures (end-to-end encryption where the importer lacks keys, pseudonymization with EU-retained mappings, split processing), contractual measures (commitments to challenge government access requests, transparency reporting), and organizational measures (strict access controls, EU-aligned data handling policies).


Cloud Provider Data Residency Options

All three major cloud providers offer data residency controls:

  • AWS: Control Tower and Service Control Policies for region-locking, plus the AWS European Sovereign Cloud with EU-resident staff.

Data sovereignty requirements affect SaaS architecture at multiple levels:

Backup and DR. Backup data must comply with residency requirements. Cross-region replication may constitute a cross-border transfer.

Sub-processor management. Every third-party service processing customer data must comply with the customer's residency requirements, limiting sub-processor choices per region.

Strategy 1: Regional Deployment. Deploy separate infrastructure stacks in each major regulatory region. Clear compliance story, but higher cost and operational complexity.

Strategy 2: Data Residency Controls on Global Platform. Single global platform with region-specific databases for customer data. Lower overhead, but complex data routing and risk of accidental cross-border movement.

Strategy 3: Encryption-Based Sovereignty. Store data encrypted with customer-managed keys (BYOK/HYOK). Location becomes less relevant, but limits SaaS functionality requiring plaintext access and is not accepted by all regulators.

Strategy 4: Hybrid Approach. Store regulated data (PII, PHI, financial data) in region-specific databases while processing non-sensitive metadata globally. Balances compliance with efficiency but requires careful data classification.
